1Acceptance of these terms
These Terms of Service ("Terms") are a binding agreement between you and Depler LLC ("depler," "we," "us," or "our"). By creating an account, downloading, or using the depler mobile application and related services (the "Service"), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
2Eligibility
You must be at least 18 years old and able to form a binding contract to use depler. By using the Service, you represent that you meet these requirements, that the information you provide is accurate, and that you will keep it up to date. You also represent that you are authorized to use any bank account you link to depler.
3Your account
You are responsible for the activity that happens under your account and for keeping your login credentials secure. Notify us promptly at support@depler.app if you believe your account has been compromised. You may not share your account or transfer it to anyone else.
4What depler does
depler is a tool that helps groups split shared bills. A typical flow works like this:
- One person (the "opener") pays the full bill at a restaurant or venue.
- The group scans the receipt, and depler reads the line items.
- Each person claims the items they ordered on their own phone, and tax and tip are split proportionally by each person's share of the food subtotal.
- depler then uses our payment processor to move each member's share from their linked bank account to the opener.
depler is not a bank, money transmitter, or payment processor. We do not hold, store, or take custody of your funds. All movement of money is performed by our third-party payment processor, Stripe, directly between users' linked accounts.
5Payments & bank transfers
Payments on depler are made by bank transfer (ACH) through Stripe and Stripe Financial Connections. By linking a bank account and confirming a split, you authorize depler and Stripe to initiate a debit from your linked account for the amount of your claimed share, and to credit the opener's connected account.
You understand and agree that:
- ACH transfers are not instant and may take several business days to settle. A transfer that initially appears successful can later fail or be returned (for example, due to insufficient funds, a closed account, or a dispute).
- You are responsible for ensuring your linked account has sufficient funds to cover the amounts you claim.
- If a transfer fails or is reversed after the opener has been shown as paid, you remain responsible for the amount you owe, and depler may re-attempt the transfer or take other reasonable steps to resolve the balance.
- You authorize recurring or repeat debits only to the extent needed to complete splits you participate in.
- Disputes about whether goods or services were received are between you and the other members of your group; depler facilitates the transfer but is not a party to your underlying meal or purchase.
You may revoke a bank-account authorization by removing the account in the app, except for transfers already in progress.
6Openers & members
The opener is responsible for paying the venue and for the accuracy of the receipt added to a split. Members are responsible for honestly claiming the items they ordered. depler relies on users to act in good faith and is not responsible for disagreements between group members about who ordered what.
7Fees
depler may be offered free of charge or may charge a fee for some features. If we introduce or change fees, we will disclose them in the app before you are charged. Your payment processor may also apply its own fees or limits, which will be disclosed where applicable.
8Receipt scanning & accuracy
depler uses optical character recognition to read receipts. This technology is not perfect and may misread items, prices, tax, or tip. You are responsible for reviewing and correcting the parsed items before confirming a split. depler is not liable for amounts that result from an uncorrected scanning error.
9Acceptable use
You agree not to:
- Use depler for any unlawful, fraudulent, or deceptive purpose, including money laundering or unauthorized transfers.
- Link a bank account you are not authorized to use.
- Claim items you did not order in order to avoid paying your share, or otherwise abuse the Service to take money from others.
- Interfere with, reverse engineer, or attempt to gain unauthorized access to the Service or its systems.
- Use the Service to harass, threaten, or harm other users.
We may suspend or terminate accounts that violate these rules.
10Third-party services
depler relies on third parties to operate, including Stripe (payments and bank connections) and Supabase (hosting and database). Your use of payment features is also subject to Stripe's applicable terms and authorizations. We are not responsible for the acts or omissions of these third parties, but we choose providers we believe to be reputable.
11Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any payment will settle on a particular timeline.
12Limitation of liability
To the maximum extent permitted by law, depler and its officers, members, and employees will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of funds, profits, or data, arising out of or relating to your use of the Service. To the extent we are found liable, our total liability will not exceed the greater of the fees you paid depler in the twelve months before the claim, or US$100.
13Indemnification
You agree to indemnify and hold harmless depler from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another person or entity.
14Termination
You may stop using depler and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we are required to do so by law or by a payment provider. Provisions that by their nature should survive termination (such as payment obligations, disclaimers, and limitation of liability) will survive.
15Changes to these terms
We may update these Terms from time to time. If we make material changes, we will notify you in the app or by email and update the "Last updated" date above. Continuing to use the Service after changes take effect means you accept the revised Terms.
16Governing law & disputes
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You agree that any dispute will be resolved in the state or federal courts located in Florida, and you consent to their jurisdiction, except where applicable law gives you the right to bring a claim elsewhere.
